1. Acceptance of Terms
By accessing or using the website and service at mrinvoice.app (the "Site" and the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Site or the Service. These Terms constitute a legally binding agreement between you and MrInvoice.APP, a division of Quantum System, USA ("Company," "we," "us," or "our").
You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.
2. The Service
MrInvoice.APP is a subscription invoicing platform for small businesses: estimates, invoices, customer and product records, payment tracking, and PDF document generation. Accounts are opened personally by our team after you contact us — there is no self-service sign-up. Plan features, limits, and pricing are described on the Site and may change with notice to subscribers. The Service is a billing-paperwork tool; it is not accounting, bookkeeping, tax, or legal software, and it does not provide advice of any kind.
3. Accounts and Subscriptions
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- Each plan includes a set number of user seats and document storage; we may enforce these limits technically.
- You must provide accurate business information and keep it current.
- We may suspend or terminate accounts that violate these Terms or applicable law.
- Your business data remains yours — see our Privacy Policy — and is exportable on request.
4. Intellectual Property
All content on the Site — including but not limited to text, graphics, logos, icons, images, and source code — is the exclusive property of MrInvoice.APP or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any material on the Site without our express prior written permission, except as follows: you may print or download one copy of a reasonable number of pages solely for personal, non-commercial use. Documents you generate through the Service for your own business (your invoices and estimates) are, of course, yours to use freely.

You agree not to use the Site or the Service to:
- Violate any applicable federal, state, local, or international law or regulation
- Issue fraudulent, deceptive, or unlawful invoices or documents
- Transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site
- Attempt to gain unauthorized access to any portion of the Site, other subscribers' data, or related systems
- Use automated tools (bots, scrapers, crawlers) to extract content without our permission
- Impersonate MrInvoice.APP, our employees, or any other person or entity
- Introduce viruses, trojans, worms, or other malicious code

You agree to defend, indemnify, and hold harmless MrInvoice.APP and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site or the Service.

MrInvoice.APP has no control over the content, privacy policies, or practices of third-party websites and assumes no responsibility for them. Accessing any third-party site is at your own risk.

MrInvoice.APP reserves the right to revise and update these Terms at any time at our sole discretion. All changes are effective immediately upon posting. Your continued use of the Site or the Service following the posting of revised Terms means you accept and agree to the changes.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without giving effect to any choice or conflict of law provision or rule. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you irrevocably consent to the personal jurisdiction of such courts.

Before initiating any formal legal action, you agree to contact us via our contact form and attempt to resolve the dispute informally for a period of at least 30 days. This does not waive either party's right to seek injunctive or other equitable relief for urgent matters.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
